GENERAL TERMS AND CONDITIONS OF USE OF KOVALYS SERVICES

CGU : The present general conditions of use.
Terms of payment : Terms of payment of the price defined in article 9 of the GCU.
Kovalys: Kovalys Europe Ltd, located at 3 rd Floor, 207 Regent Street, W1B 3HH, LONDON, UK, registered under number 12520016, which offers the Services described in the TOS.
Website: Kovalys Connect Network website www.neoney.co.
Kovalys Connect Network: International business gas pedal, dedicated to companies and experienced professionals, an innovative ecosystem that promotes digital business development, through an online networking platform for Kovalys Connect Network Members on the Website and a range of services to promote Members.
Platform: Platform for putting Kovalys Connect Network Members in touch with each other online.
Services: Services provided by Kovalys as described in article 6 of the GCU.
User(s): Individual or legal entity registered on the Site under the conditions set out in article 3 of the GCU.
Registration : Registration of a User to the Site under the conditions of article 3 of the GCU.
User Space: Space to which the User has access once he/she has registered on the Site.
Adherent member(s): Legal entity or natural person adhering under the conditions of article 4 of the GCU.
Active Member(s): Member who recommends the Kovalys Connect Network in its first year of Membership to two legal entities or individuals corresponding to the Membership conditions set out in article 4, whose Membership is validated and who therefore become Adherent Members, for as long as the recommended Adherent Members retain their Adherent Member status.
Referring Member(s): Active Member of whom two of the Members he/she has recommended for Active Membership become Active Members themselves, for as long as these Active Members retain their Active Membership status.
Referred Member(s): Person or company that offers one or more services and/or the sale of products for Users and Members, referred by Kovalys according to the referencing conditions defined in article 5 of the GCU.
Member(s): Associate Member(s), Active Member(s), Referring Member(s) and Referred Member(s).
Member Area: Area to which the Member has access once he/she has joined the Site.
Membership: Membership of the Adherent Member under the conditions defined in article 9.1 of the GCU.
Referral: Membership of the Referred Member under the conditions defined in article 5 of the GCU.
Ambassador(s): Individuals or legal entities linked to Kovalys by a business contract known as an ambassador.
NEO Code: Member identifier used to recommend new Members.
Article 1: Purpose
The purpose of the GCU, established by Kovalys, is to define the conditions of access and use of the Services by Users or Members.
Article 2: Acceptance and modification of the GCU
2.1 Acceptance of the GCU
The GCU are applicable to Users as soon as they Register and to Members as soon as they Join without any further formality and throughout their use of the Services.
The User or Member declares that he/she has read the GCU before registering or becoming a Member, which can be consulted free of charge on the Platform and the Site.
The User's registration or the Member's Membership therefore implies unreserved acceptance of the GCU.
2.2 Modification of the GCU
Kovalys reserves the right to modify all or part of the GCU at any time by publishing a new version on the Platform, without further formality. In the event of modification of the GCU, the User or Member is notified by the appearance of an insert on the Platform. By continuing to navigate on the Platform or by clicking on the aforementioned insert, they declare that they accept the new GCU.
2.3 No withdrawal period
Users or Members acknowledge that the service to which they subscribe corresponds to a clearly personalized good. Consequently, and in accordance with the provisions of article L 121-21-8, 3°, it is understood that Users or Members do not have a right of withdrawal, given the nature of the services they benefit from upon registration or their status as professionals (B to B services).
Article 3: User status
The conditions to be met to become a User and have your Registration on the User Space confirmed are as follows:
- Be a member of one of the following professional categories:
- TPE / PME (<250 salariés)
- ETI / GE (>=250 employees)
- BANK / FINANCE / INVESTMENT
- ADMINISTRATIONS
- ASSOCIATIONS
- ARTISTS, SPORTSMEN, VIDEOGRAPHERS
- SELF-EMPLOYED, CONTRACTORS
- DOCTORS, NURSES
- BUSINESS LEADERS
- Please provide the following mandatory information:
- Category
- Country
- City
- Company name
- Activity
- Activity description
- Contact information: Gender, Last name, First name, Phone, Email, Mailing address
After validation by Kovalys, the User will receive a confirmation e-mail, an identifier and a password automatically generated during registration, as well as a temporary NEO Code. The password is personal and confidential. The User undertakes to keep his password secret and not to divulge it in any form whatsoever. The User may personalize his password.
Kovalys reserves the right to refuse the Registration of any User at its own discretion.
When the User completes his Registration and continues to browse the Platform, the User declares on his honor that he has provided accurate and complete information. He/she must ensure that this information is always kept up to date in his/her User Space.
Article 4: Membership
The following conditions must be met in order to become an Adherent Member and have your Membership confirmed in the Member Area:
- Be a Platform User with valid access (login/password);
- Fill in the following fields:
- Siret / Identification number
- Date of registration
- Legal structure
- Address (Street, Postal code, City)
- Sales range
- Workforce (number of employees)
- Information about the legal representative: Gender, Last name, First name, Telephone, E-mail
- Kbis or legal identification document
- Member or Ambassador NEO code
- Send the supporting documents requested by e-mail to prove their professional status and marital status. In this case, the Member will receive his definitive NEO code.
- To have paid the total corresponding price defined in article 9 of the GCU.
The Adherent Member declares on his honour that he has provided accurate and complete information. They must ensure that this information is kept up to date at all times in their Member Space.
Kovalys sends a confirmation of Membership by email to the Adherent Member.
Kovalys reserves the right to refuse Membership to any Member at its own discretion.
Article 5: Referred Member status
The conditions for becoming a Referred Member are as follows:
- Be a Platform User with valid access (login/password);
- Fill in the following fields:
- Siret / Identification number
- Date of registration
- Legal structure
- Address (Street, Postal code, City)
- Sales range
- Workforce (number of employees)
- Information about the legal representative: Gender, Last name, First name, Telephone, E-mail
- Kbis or legal identification document
- Member or Ambassador NEO code
- Send the supporting documents requested by e-mail to prove their professional status and marital status. In this case, the Member will receive his definitive NEO code.
The Referred Member declares that he/she has provided accurate and complete information. They must ensure that this information is kept up to date at all times in their Member Area.
Kovalys sends a Referral confirmation by email to the Referred Member.
Kovalys reserves the right to refuse the Listing of any User at its own discretion.
Article 6: Content and access to Services
6.1 Content of Services available to Users
These Services are listed in the table in Appendix 2 of the GCU.
6.2 Content of Services available to Members
These Services are listed in the table in Appendix 2 of the GCU.
6.3 Other services
Kovalys reserves the right to offer functionalities and services other than those described in articles 6.1 to 6.3, subject to payment of a price which will be specified when these other services are offered.
Article 7: Access to the Site
All costs, other than the price as defined in article 9, relating to access to the Site, including hardware, software and Internet access costs, are the sole responsibility of the Member and/or User. The Member and/or User is solely responsible for the proper functioning of his/her computer equipment and Internet access.
Kovalys uses all reasonable means at its disposal to ensure quality access to the Site, it being understood that it is only bound by an obligation of means.
Kovalys reserves the right to refuse access to the Site, unilaterally and without prior notice, to any Member and/or User who does not comply with the GCU.
Furthermore, Kovalys cannot be held responsible for any malfunction of the Kovalys Connect Network or servers or for any other event beyond its reasonable control, which would prevent or degrade access to the Site.
Kovalys reserves the right to interrupt, temporarily suspend or modify without notice access to all or part of the Site, in order to carry out maintenance, or for any other reason, without the interruption giving rise to any obligation or compensation.
Article 8: Use of Services
8.1 Compliance with Kovalys values
8.2 Proper use
The Member or User is only authorized to use the Services in accordance with the terms of the GCU.
The Member or User is not authorized to deactivate, divert or attempt to divert the billing mechanism for use of the Services.
In particular, the Member and/or the User agrees to use the platform's recommendation features to rate the suppliers with whom they have been put in contact and to inform Kovalys of any service concluded with one of the Members using the tools in place. This information will enable Kovalys to constantly update and optimize the referencing of Members and the quality of services rendered.
8.3 End users
It is strictly forbidden for the Member or User to lend, rent, resell, transfer or host any Service to or for third parties.
It is the responsibility of the Member and the User to control end-users' access to the Services and to ensure that they comply with the related conditions of use stipulated in the GCU, in particular with regard to concerning the rules of good use and respect for values as specified above in articles 8.1 and 8.2.
Article 9: Prices and payment terms
9.1 Membership
In order to become an Adherent Member, it is necessary to subscribe to the services of the Kovalys Connect Network for a Membership fee corresponding to the offer chosen:
Member PRO offer: €100 excl. tax per month.
VIP member offer: €149 excl. tax per month.
ELITE Member offer: €199 excl. tax per month.
SILVER PARTNER member offer: €1,800 excl. tax, valid for 18 months.
GOLD PARTNER member offer: €8,000 excl. tax, valid for 18 months.
CATALOG PARTNER member offer : €3,600 excl. tax, valid for 18 months.
VDE member offer: €990 excl. tax, valid for 3 months.
GROWTH Member Offer: €1,500 ex VAT per month.
MENTORING Member Offer: €5,000 excl. tax, valid for 6 months.
Terms of payment are defined in the Terms of Payment available on the Site at the time of payment (credit card, bank transfer or other).
9.2 Renewal
Membership is valid for the duration of the offer chosen, without commitment, as indicated in article 9.1. In order to continue using the Services, the Adherent Member must pay the membership fees in force at the time of renewal.
Payment terms are defined in the Terms of Payment available on the Site at the time of payment.
Article 10: Duration of the GCU
The GCU are valid for an indefinite period from the date of acceptance of the GCU by the Member and/or User.
Article 11: Termination
11.1 Cancellation of Registration
The User may unsubscribe from the Site at any time by clicking on the appropriate box on the Site.
Kovalys may at any time and at its own discretion deactivate the User Space of a User, without further formality.
11.2 Termination of Membership
The Adherent, Active or Referent Member may terminate his or her Membership on each anniversary date of his or her Membership by sending an e-mail to the Kovalys e-mail address indicated in article 12 at least 14 days before the anniversary date of his or her Membership.
Kovalys may terminate the contract at any time by giving 14 days' notice by sending an e-mail to the e-mail address provided by the Member, Active Member or Referrer in the Member Area.
In this case, the Adherent, Active or Referent Member is reimbursed the Membership fee pro rata to the time elapsed.
Kovalys may also terminate the service at any time and without delay in the event of a breach by the Member, Active or Referring Member of the GCU. The Adherent, Active or Referring Member will be informed of this by sending an e-mail to the e-mail address provided by the Adherent, Active or Referring Member in his or her Member Area. In this case, the Member, Active Member or Referrer will not be reimbursed the membership fee.
From the date of termination for any reason whatsoever, the Member, Active Member or Referrer will no longer have access to his or her Member Space, which will be deactivated.
11.3 Termination of Listing
The Referred Member may at any time request to be removed from the Site by clicking on the appropriate box. In this case, the Referred Member will no longer be able to be referenced on the Site for a minimum period of 6 months.
Kovalys may at any time and at its own discretion deactivate the Member Area of a Referred Member, without further formality.
Article 12: Notification
All notifications and/or claims to be made shall be deemed to have been made if sent by e-mail to the following addresses:
For Kovalys: support (at) kovalys.com.
For Members and Users: to the e-mail address indicated in their Member Area.
Article 13: Intellectual property
13.1 The Brand
"Kovalys" is a registered trademark in Europe. Any unauthorized reproduction of this trademark, logos and distinctive signs constitutes an infringement punishable by law. The offender is liable to civil and criminal penalties, in particular those provided for in articles L. 335.2 and L. 343.1 of the French Intellectual Property Code.
13.2 The Site
The structure and content of the Site are the property of Kovalys and are protected by French and international intellectual property laws.
Any reproduction, in whole or in part, of the content of the Site on any medium whatsoever (written or electronic in particular) without the prior written consent of Kovalys is strictly prohibited and may constitute an infringement of copyright.
Furthermore, Kovalys remains the owner of all intellectual property rights relating to the provision of Services to Members and Users. Members and Users therefore agree not to reproduce or exploit said intellectual property rights.
Article 14: Image rights
Members and Users agree to be photographed and/or filmed by Kovalys staff during events organized as part of the Services described in the TOS.
Kovalys reserves the right to continuously broadcast these photographs and videos on the Site, on social networks such as Linkedin, facebook, X, meetup, Instagram and on the Kovalys Youtube channel only.
In case a Member or a User refuses to appear in a photograph or in a video, or wishes the withdrawal of a photograph or a video broadcasted on the Site, the social networks or the Youtube channel of Kovalys, he will inform Kovalys at any time who will not broadcast the photograph or the video, or who will withdraw it if necessary.
Kovalys is in no way responsible for the use of these photographs or videos by third parties.
Article 15: Privacy policy
Kovalys undertakes to ensure that the collection and processing of personal information on the Site is carried out in accordance with the French Data Protection Act (Loi Informatique et Libertés) no. 78-17 of January 6, 1978. As such, the Site has been declared to the CNIL under number "1875150 v 0" and Kovalys undertakes to comply with the above legislation.
In accordance with article 34 of the "Loi Informatique et Libertés", Kovalys guarantees Members and Users a permanent right of access, opposition, modification and rectification of their personal data.
Under no circumstances will the information collected be given or sold to third parties by Kovalys.
The Member or User may exercise this right on the Site at the following e-mail address: dpo@kovalys.com.
Article 16: Assignment
The GTU being concluded intuitu personae, the rights and obligations resulting therefrom cannot be assigned or transferred, in whole or in part, free of charge or against payment, for any reason, in any form or to any person whatsoever, by the Member or the User without the express prior consent of Kovalys.
Article 17: Limitation of Kovalys' liability
Kovalys can never, for any reason whatsoever, be held responsible for the relationship between the User and the Member, between Users or between Members.
Kovalys is not responsible for the access and use of the Platform by a visitor who is not a Member or a User (for example, who has accessed the Platform using the login and password of a User or a Member for any reason whatsoever).
With regard to hypertext links that may be proposed on the Platform and/or on the Site to websites published and/or managed by third parties, insofar as no control is exercised over these external resources, Kovalys declines all responsibility for the availability of these resources, and cannot be held responsible for their content.
Article 18: Force majeure
The non-performance of obligations under the GCU attributable to a case of force majeure will not be subject to any recourse.
In the event of such an event preventing Kovalys from respecting its commitments, Kovalys undertakes to inform the Member or the User within a reasonable period of time.
Article 19: Invalidity - Waiver
Should any provision of the GTU be declared null and void or invalid by a court decision or be modified by a decision of a national or European authority, the other provisions of the GTU shall remain unaffected.
Failure by Kovalys to exercise its rights under the GTU shall not constitute a waiver of such rights.
Article 20: Applicable law and jurisdiction
The GCU in French will be executed and interpreted in accordance with French law.
The TOS in English shall be construed and enforced in accordance with English law.
The GCU are written in French. Should they be translated into one or more foreign languages, the French version shall prevail in the event of a dispute.
